Official Legal & Compliance

Terms of Service

Effective Date: August 28, 2026 • Application: ChatCoat

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ChatCoat ("we," "our," or "us"), operated by Sami Ullah. By creating an account, accessing our dashboard, connecting social accounts, or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our service.

2. Third-Party Platform Terms & Compliance

ChatCoat interfaces with official third-party APIs. By using our platform, you agree to comply with the respective terms and policies of each connected service:

A. YouTube / Google Terms (Mandatory Notice)

ChatCoat uses YouTube API Services. By connecting a YouTube channel or using any YouTube-related features in ChatCoat, you expressly agree to be bound by the YouTube Terms of Service and acknowledge Google's processing of data under the Google Privacy Policy. You can revoke access at any time via Google Security Settings.

B. Meta (Facebook & Instagram) Terms

You agree to comply with the Meta Terms of Service, the Meta Platform Terms, and the Instagram Terms of Use.

C. TikTok Terms

You agree to adhere to the TikTok Terms of Service and TikTok Community Guidelines.

D. LinkedIn Terms

You agree to comply with the LinkedIn User Agreement and LinkedIn Professional Community Policies.

E. Pexels Terms & API License

ChatCoat integrates with the Pexels API to provide free high-resolution stock photos and videos. By searching, importing, or publishing content sourced from Pexels, you agree to comply with the Pexels Terms of Service and the Pexels License. In accordance with Pexels API guidelines, ChatCoat visibly preserves and displays contributor and Pexels attribution for all Pexels-sourced media.

F. Canva Connect API Integration

ChatCoat provides an optional integration with the Canva Connect API allowing you to connect your Canva account via OAuth 2.0 to view your Canva designs, brand templates, and visual assets, create new designs with social media dimensions, and export designs directly into your ChatCoat media library for use in social media campaigns.

  • User Authorization & Responsibility: You are solely responsible for authorizing the Canva connection and represent and warrant that you hold all necessary rights, licenses, and authorizations to connect your Canva account and to access, create, export, and use any designs, templates, or assets through the integration.
  • Ownership of Canva Content: You retain all right, title, and interest in and to your Canva designs and creative content. ChatCoat does not claim any ownership rights in your Canva designs, brand templates, or assets merely because they are accessed, viewed, or imported through the integration.
  • Independent Third-Party Service & Compliance: Canva is an independent third-party service operated by Canva Pty Ltd. Your use of Canva through the integration remains subject to applicable Canva terms, licenses, and policies, including the Canva Terms of Use. Any premium elements, audio, or stock media within your designs remain subject to Canva's content licensing requirements.
  • No Affiliation or Endorsement: ChatCoat is an independent SaaS application developed and operated by Sami Ullah. ChatCoat is not sponsored, endorsed, certified, affiliated with, or operated by Canva Pty Ltd.
  • API Availability & Service Limitations: Canva functionality relies on the continued availability of the Canva Connect API. ChatCoat cannot guarantee uninterrupted availability of Canva features if Canva modifies, restricts, suspends, or terminates API access, endpoints, or permissions.
  • Privacy & Data Handling: For detailed disclosures regarding how Canva OAuth tokens, account metadata, and exported design files are stored, protected, and deleted, please review Section 7 of our Privacy Policy.

3. Subscriptions, Billing & Merchant of Record (Paddle)

Our order process and payment transactions are facilitated by our Merchant of Record, Paddle.com ("Paddle").

  • Merchant of Record: Paddle (Paddle.com Market Ltd or its designated local operating affiliate) is the legal Merchant of Record for all ChatCoat paid subscription orders. Paddle is responsible for payment processing, currency conversion, invoicing, receipts, and the calculation, collection, and remittance of applicable sales tax, VAT, and GST.
  • Subscription Purchases & Recurring Billing: ChatCoat is sold as a modular subscription: a base plan, optional paid modules and AI agents, per-channel and post add-ons, and an Agency plan for multi-workspace teams. Subscriptions are billed in advance on a monthly or annual billing cycle as selected at checkout. By initiating a subscription through Paddle Checkout, you authorize recurring charges to your designated payment method at the beginning of each billing cycle until canceled. Plan contents, limits, and prices are as shown on our pricing and billing pages at the time of purchase.
  • Compliance with Paddle Buyer Terms: When purchasing a subscription through our checkout, you agree to comply with Paddle's buyer terms and conditions, accessible at Paddle Buyer Terms.
  • Cancellation & Subscription Management: You may cancel or manage your active subscription at any time directly through your ChatCoat dashboard Settings via our integrated Paddle customer portal. Upon cancellation, your subscription remains active through the conclusion of your current prepaid billing period, and no further renewal charges will be applied.
  • Refunds: Refund requests are handled in accordance with our dedicated Refund Policy and Paddle's applicable Paddle Refund Policy.

4. Authorized Account Use & Authority

You represent and warrant that you own or have obtained all necessary legal rights, authorizations, and permissions to connect, manage, publish to, and automate the Facebook Pages, Instagram professional accounts, YouTube channels, TikTok accounts, and LinkedIn profiles linked to your ChatCoat workspace, as well as any Canva accounts, designs, templates, and digital assets you connect, create, export, or manage through the Canva Connect integration.

5. Automated Actions & Delegation

By enabling publishing schedules, keyword comment triggers, auto-reply rules, direct messaging (private replies), and campaign post auto-deletion timers, you authorize ChatCoat to execute those actions on your behalf using the OAuth credentials and API permissions you have granted.

You maintain full responsibility for the cadence, content, and appropriateness of all automated messages, replies, and scheduled publications.

6. Content Standards & Prohibited Conduct

You agree not to use ChatCoat to:

  • Publish or distribute spam, misleading promotions, scam links, or malicious software.
  • Violate intellectual property rights, trademarks, or copyrights of any third party.
  • Send unsolicited, abusive, defamatory, harassing, or deceptive automated messages or comments.
  • Bypass, circumvent, or exploit rate limits, security measures, or review guidelines of connected platforms.

7. Platform API Changes & Service Availability

ChatCoat relies on third-party APIs provided by Meta, Google/YouTube, TikTok, LinkedIn, Pinterest, Pexels, and Canva. These platforms may change their API specifications, permissions, rate limits, policies, or access tiers at any time.

We make reasonable efforts to maintain continuous service availability, but we do not guarantee uninterrupted access if a third-party platform modifies its API endpoints, revokes access tokens, experiences outages, or rejects required application reviews.

8. Disclaimer of Warranties

ChatCoat is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ChatCoat and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or social account standing resulting from your use of or inability to use the service.

10. Termination & Account Deletion

You may terminate your account at any time by disconnecting your channels and requesting deletion via our Data Deletion Page. We reserve the right to suspend or terminate accounts that violate these Terms or third-party platform policies.

11. Free Trial

We may offer a free trial of the base plan (14 days, no payment card required). Certain modules, agents, and channels (including X and the WhatsApp agents) are excluded from the trial unless stated otherwise at signup. One trial is available per person and per organization; creating additional accounts or organizations to extend a trial is prohibited. When the trial ends, paid features stop being available until a subscription is purchased; your data is retained for a reasonable period so you can subscribe without losing your workspaces, campaigns, and settings. We may modify or end a trial offer at any time, and trial terms shown at signup prevail over this section in case of conflict.

12. Your Content & Intellectual Property

You retain all rights in the content, media, product catalogs, knowledge-base entries, and other materials you provide to ChatCoat ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to operate and improve the service for you — including sending it to the platforms you connect and to the AI providers described in our Privacy Policy and Data Processing Addendum when you use AI features. This license ends when Your Content is deleted from our systems, except for copies in routine backups that are purged in the ordinary course.

The ChatCoat service, software, and branding are owned by us and our licensors and are protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or to use the service except as expressly permitted. If you give us feedback or suggestions, we may use them without restriction or compensation.

13. AI Features & Generated Content

ChatCoat's AI features (copilot, reply agents, WhatsApp agents, suggestions) are powered by third-party large-language-model providers and generate output that may be inaccurate, incomplete, or unsuitable. AI output is provided for your review: you are responsible for checking drafts, replies, and automated actions before and while they are used, and for the communications ultimately sent from your accounts. Autonomous agents act only within the settings, catalogs, and knowledge base you configure. Generated output may not be unique, and we make no warranty that it does not resemble content generated for others.

14. Indemnification

You agree to indemnify and hold harmless ChatCoat and its operator from claims, damages, losses, and reasonable legal fees arising from Your Content, your use of the service in violation of these Terms or of a connected platform's policies, your automated communications, or your violation of any law or third-party right.

15. Governing Law & Disputes

These Terms are governed by the laws of Pakistan. The parties will attempt to resolve disputes in good faith through negotiation for 30 days; unresolved disputes are subject to the exclusive jurisdiction of the courts of Pakistan. Nothing in this section prevents either party from seeking urgent injunctive relief. If you are a consumer, this section does not deprive you of mandatory protections of the law of your country of residence.

16. Changes to These Terms; General

We may update these Terms from time to time. Material changes will be announced in the product or by email at least 15 days before they take effect, and continued use after the effective date constitutes acceptance. These Terms, the Privacy Policy, the Refund Policy, and the Data Processing Addendum form the entire agreement between you and us regarding the service. If any provision is held unenforceable, the remaining provisions continue in full effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of the business. Failure to enforce a provision is not a waiver of it.
